We, us - These terms refers to Elite Skills Ltd whose registered office is Kotikonnuntie 9 F 104, 00940, Helsinki, Finland. Wordskills.com is the international website of Elite Skills Ltd.
You, the client - the individual (author) or company whose publications we host and sell on the wordskills.com webstore.
The Agreement is the agreement between Elite Skills Ltd and the Client for hosting one or more publications on the webstore.
The Customer - an individual or an organisation that purchases a client's publication from the webstore.
A Book is referred to here as ONE computer file normally published in an approved format representing a course, workbook, students book, guide or workbook, or a teachers/trainers guide. A book is one component, or the only component, of a publication.
A Publication is defined as one or two electronically published books in PDF format.
ONE publication could thus be
1 Student coursebook/workbook OR
1 Student coursebook/workbook AND 1 teachers/trainers book OR
1 Teacher's book/trainer's guide
All books in a publication must cover the same course material, that is, a teacher's or trainer's guide must support the material in the student's book.
The language in which books are published is normally English but we will consider publishing in other languages.
The fees for hosting and selling a publication on behalf of a client are determined for EACH publication
An Edition of a publication refers to the right of a customer to copy part or all or a publication for private use or use within an institution.
A Standard Edition grants the customer limited rights to reproduce part of a publication. The following wording (or similar) appears in the webstore information page for a publication, and in the preface page of the publication.
The material in the publication is copyright. However the publisher grants permission for copies of pages to be made without fee on those pages marked with the text PHOTOCOPIABLE PAGE. Private purchasers may make copies of the PHOTOCOPIABLE PAGEs for their own use or for use by classes of which they are in charge; school purchasers may make copies of the PHOTOCOPIABLE PAGEs for use within and by the staff and students of the school only. In the Standard Edition the only photocopiable pages are the exercises and the answer keys. Permission to copy does not extend to the text of the book, nor to additional schools or branches of an institution; these must purchase the School/Institutional Edition for their own use.
A School Edition or Institutional Edition grants the customer more rights to reproduce part or all of a publication. The following wording (or similar) appears in the webstore information page for a publication, and in the preface page of the publication.
SCHOOL/INSTITUTIONAL EDITION The material in the publication is copyright. Pages in the publication without the PHOTOCOPIABLE PAGE text may not be photocopied unless the purchaser has purchased a School/Institutional Edition. The School/Institutional Edition grants to a school or company a site license to reproduce unlimited copies of all pages of the publication for its staff and students. Additional schools or branches of an institution must however purchase separate School/Institutional Editions.
A publication can thus be further defined as a standard edition and a school/institutional edition, and sold as ONE publication, provided the two editions are identical; the only difference between the two being the conditions under which they may be used, and the price to the customer. If the two editions differ in content in any way they are treated as SEPARATE publications.
A Sampler is a set of pages (normally a maximum of 10) taken from a publication and offered free to potential customers as an invitation to inspect content and subsequently buy.
Terms and conditions
You agree to these terms and conditions when your publication is hosted and sold on our webstore. These Terms and Conditions form the contract between you and us.
You own copyright to the publication.
The publication must not have been published elsewhere, nor is it in the process of being published elsewhere. The only exceptions are (i) where you still retain sole copyright or (ii) the publisher has granted, in writing, permission for us to publish the publication.
You, the author, retain copyright to the publication throughout the period of this contract. If, however, during the period that this contract is in force you wish to assign copyright to another, or you are required to do so (for example, a publishing house accepts your publication for printing and requires you to surrender copyright) then we may have to withdraw the publication from sale. In this respect, no fees will be refunded during the first year of the contract.
Publication Content and Structure
The content of the publication is not defamatory, obscene, or illegal. The content does not infringe any personal rights or proprietary rights.
You supply the publication in a format that meets all the structure requirements.
The fees schedule refers to the fee you pay for each publication, whether 1 book or 2 books (student book and teacher/trainer book). If your course material consists of more than one book and you wish to sell the books separately then they are treated as separate publications, with separate entries in the WebStore, ordered separately and a separate fee payable for each publication.
You pay the fees as described in the fees schedule. Payment is made annually in advance and runs for 12 consecutive months until the anniversary of the payment date.
You accept that the annual fee, payable in advance, covers
You accept that the annual fee is not refundable. This protects us from those ask for a refund after they have taken advantage of our publication production process; effectively obtaining a production version of the publication without paying for it.
Pro-rata refunds may be made for unused portions of the annual maintenance fee and the annual storage fee, for second and subsequent years only.
If you decide not to renew this contract at the end of the first, or subsequent, years you must give us 10 days notice of your intention to do so.
You accept that we have little control over the distribution of a publication once sold and downloaded to a customer. While we will endeavour to ensure that standard editions are not copied in excess of the copyright conditions attached to their sale you accept that we cannot guarantee this.
You agree to allows us to use extracts from your publication, and the information you provide to promote sales and marketing of your publication and the wordskills publishing program.
When a sale is made you will be credited with royalities due to you, calculated as a percentage of the base price, as detailed in the Pricing document.
Accumulated royalities will transferred to your bank account in a currency of your choice. We do not normally issue cheques. You will be asked for bank account details when your fee payment is approved.
We will be responsible for paying bank charges for international transfer of funds out of our account. You accept responsibility for paying bank charges on receiving funds into your bank account. We will transfer payments to you when the balance of the accumulated royalities due to you reaches the equivalent of US$50.00 in your chosen currency. The currencies in which payment by direct transfer may be made are listed on this page. If your currency is not shown choose US Dollars.
General
We do not assign ISBN numbers to publications. If you wish assign an ISBN number to your publications you should arrange this yourself.
This Agreement shall be governed by the laws of Finland. All parties agree to abide by any decisions made in Finnish Law.
